ANNEX TO THE TERMS AND CONDITIONS FOR DENTISTS
This annex is a template: the eight clauses below are for your clinic to copy into its own patient-facing documents (terms, contracts, consent forms) before connecting patients — they are not terms Perioskoup applies to patients directly. It is part of the Terms and Conditions for Dentists you accept at sign-up. Text in [square brackets] is for your clinic to complete.

1. The purpose and nature of the annex
This annex comprises the information and clarifications which the Client is obliged to include in its own contractual and information documents addressed to patients, including the terms and conditions, the medical services contracts or the consent forms, before connecting patients to the Perioskoup platform or uploading their data.
The clauses have been deliberately designed as information notices and clarifications of role, and not as exclusions of liability. They do not exclude and do not limit the liability of any party for its own fault and, for this reason, they are compatible with consumer protection legislation, including Legea nr. 193/2000 [Romanian Law No. 193/2000 on unfair terms in contracts concluded between professionals and consumers]. Their purpose is that every patient correctly understands, before use, what the platform is, what it is not, who is responsible for the medical act and how their data are processed.
2. Rules for the use of the clauses
- The clauses are taken over into the Client's documents with the necessary terminological adaptations, for example by replacing the term "the Clinic" with the Client's own name, without altering their substance.
- The clauses are of a minimum nature. The Client may supplement them with provisions of its own, on condition that these do not contradict them.
- The Client remains solely responsible for the overall compliance of its own documents with the legislation applicable to its activity.
- The Client will retain proof of the acceptance of the documents which include the minimum clauses by every patient connected to the platform and will present it to Perioskoup on request, pursuant to Section 9.2 of the B2B Terms.
- For minor patients, acceptance is obtained from the parent or from the legal representative.
3. The minimum clauses (text to be taken over)
Clause 1 — The use of the Perioskoup platform
"The Clinic uses the Perioskoup digital platform, provided by Perioskoup SRL, as a tool for communication, organisation, documentation and education in the relationship with patients. Through the platform, the Clinic can manage appointments, treatment plans, medical documents and communication with the patient."
Clause 2 — The nature of the digital service
"The Perioskoup platform is a software tool. It does not provide medical services, does not establish diagnoses, does not prescribe treatments and is not a medical device within the meaning of Regulation (EU) 2017/745. The platform is not intended for emergency situations. In the event of a medical emergency, the patient will contact the emergency services or the doctor, and not the application."
Clause 3 — The role of the doctor and the limits of the information in the application
"All decisions concerning the diagnosis, the treatment plan and the medical recommendations belong exclusively to the dentist, who bears the professional liability for the medical act according to the law. The information, recommendations and content displayed in the application are informational and educational in nature, do not constitute a medical act and do not replace the consultation. The patient is asked not to take decisions concerning their health exclusively on the basis of the information in the application and to contact the doctor with any uncertainty."
Clause 4 — The artificial intelligence functions
"Certain functions of the platform use artificial intelligence systems, including the conversational assistant and the document processing tools. The content generated by these systems is visibly marked with the label «AI-generated». This content is exclusively informational and supportive in nature, and any element with medical relevance is subject to the verification and validation of the dentist before it produces effects in the treatment plan."
Clause 5 — The protection of personal data
"For the patient's data processed through the platform for the purpose of providing medical services, including records, anamneses, medical documents, radiographs and treatment plans, the data controller is the Clinic, and Perioskoup SRL acts as a processor, on the basis of a processing agreement in accordance with Article 28 of Regulation (EU) 2016/679. Detailed information concerning the processing can be found in the Clinic's information notice, available [place of publication]. The patient may exercise the rights provided for by Regulation (EU) 2016/679 by contacting the Clinic."
Clause 6 — The patient's own account in the application
"If the patient creates their own account in the Perioskoup mobile application, its use is governed by the Terms and Conditions and by the Privacy Policy of Perioskoup SRL, which the patient accepts directly on creating the account. For the data generated by the patient in their own account, including hygiene habits and the conversations with the digital assistant, the data controller is Perioskoup SRL. The creation of the account is optional and does not condition the provision of medical services by the Clinic."
Clause 7 — Minor patients
"The connection of a minor patient to the platform is carried out only at the initiative of the treating doctor and only with the explicit agreement of the parent or of the legal representative, who exercises on the minor's behalf the rights concerning data protection."
Clause 8 — Complaints and reports
"Any dissatisfaction concerning the medical services, the treatment plan or the relationship with the medical personnel is addressed to the Clinic. Any technical problem concerning the functioning of the application may be reported to the Clinic or directly to the provider of the platform, at contact@perioskoup.com. This allocation does not affect the patient's legal rights."
4. Updating the annex
Perioskoup may update this annex, in particular for alignment with legislative changes, with prior notification of the Client 15 days in advance, pursuant to Section 9.2 of the B2B Terms. The Client will reflect the updates in its own documents within a reasonable period, which will not exceed 30 days from the notification.
